Scope of services
Maine Street Partners provides AI advisory and implementation services to business clients. The specific scope, deliverables, and terms of any engagement are defined in a separate Statement of Work or engagement letter agreed between the parties prior to commencement.
Engagement terms
Advisory retainer engagements operate on a minimum 12-month basis. Implementation engagements are project-based with terms defined at scoping. Payment terms are net-14 from invoice date unless otherwise agreed in writing.
Intellectual property
Work product created specifically for a client during an engagement — including custom automations, systems, and documentation — is owned by the client upon full payment. Maine Street Partners retains the right to use anonymised case studies and aggregate learnings for internal and marketing purposes.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during an engagement. This obligation survives termination of the engagement for a period of three years.
Limitation of liability
Maine Street Partners' liability in connection with any engagement is limited to the fees paid in the three months preceding the claim. We are not liable for indirect, consequential, or incidental damages arising from the use or inability to use systems we build or advise on.
Governing law
These terms and any engagement governed by them shall be interpreted in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to these terms
We may update these terms periodically. Material changes will be communicated to active clients in advance. Continued engagement following notice of changes constitutes acceptance.
